Service terms 1. Definition Saler means receive consigned QAPASS Purchaser means consign QAPASS provide service Service contract means saler sales their service to purchaser, the term will be made up of integral part of the service contract 2. Contract establishment Service contract had been established after purchaser received saler quotation sheet. Purchaser assure buy in order to use only for its own internal, not aim at reselling 3. Order, price and payment 3.1 The prices of services, payment terms and distribution in the form of definitude assumpsit in writing on the service contract. 3.2 The service sum should be paid before the end of actual service unless the saler has expressly agreed to buy on tally on the purchasing terms. Purchaser haven’t paid for any maturity price according with promissory terms, per overdue one day, you should pay for fell back sum by 3% of overdue payment sum, when saler urged, purchaser should pay for above fell back and overdue payment sum together .Before any arrearages haven’t been paid, The saler was entitled to stop to provide service, at the same time, The saler has right retained to ask purchaser pay for provided service sum immediately 3.3 The purchasers pay for the saler in accordance with the transactions time order unless the purchaser and saler agree otherwise in writing, saler will be entitled to receive any overdue payment sum from purchasers’ received deposit (including unpaid sum) 4. Knowledge property right The two parties confirm that provided knowledge property right should regarded relative terms of the documents admission use agreement as standard , all knowledge property rights will accord with the admission use agreement to ensure their guarantee obligation. 5. Ownership and risk The service ownership and risk transfer purchaser when the service deliver to purchaser or appointed consignee 6. Deliver to 6.1 Saler should deliver the products to appointed consignee on appointed place according with contract assumpsit. 6.2 Contract expiration just looks as the service have been delivered to the purchaser 7. Acceptance of products When the purchaser sign or seal relative document on the service purchaser price, it looks as purchaser receive salers’ provided service 8. Service and skill support If purchaser buy extra service item from saler, it will provide service according with specified extra service contract terms between saler and purchaser 9. Responsibility 9.1 Saler under the terms of an incident or series of related incidents, they will take the all responsibilities and won’t exceed payment total sum according with the terms purchased service, unless the law have other definitude regulation. 9.2 To the purchase, use or performance of services arising out related indirect losses (including losing, damage, cancel or altered of data or software), saler don’t take any responsibility. 9.3 Two parties agreement: saler can correct typographical errors, clerical errors or other errors of their showing service presswork, quotation sheet, price sheet, order confirmation, invoice or other documents and information, and regarded the corrected documents as standard. 10.Domination laws The terms are applicable law of the People's Republic of China and to be explained according to its. With the terms relative disputes should negotiate friendly by two parties as soon as possible. If they can’t settle, any side can provide disputes to the salers’ local domination People's Court through litigation settlement 11.General regulation Service contract modification or changes must be made in written form unless the two parties have other writing assumpsit, and taking effect after signed or sealed on authority confirmation.
